| 内容記述 | From the 2000s, rules-based private workout processes increasingly came into use in Japan as a means for business restructuring. One of these is “Turnaround ADR”, a multi-creditor workout process developed in Japan based on the spirit of the Insol 8 principles. The practice of Turnaround ADR in Japan is now widespread. However, in order for a restructuring plan to be agreed upon in this process, it is necessary to obtain the unanimous consent of all creditors. Where this cannot be achieved, the restructuring plan must proceed to an in-court insolvency restructuring process where approval by a majority is sufficient. The Marelli Holdings case discussed in this paper is one of the largest bankruptcy cases to date in Japan. In this case, early stage restructuring was achieved using both Turnaround ADR and an in-court insolvency restructuring procedure. Some of the issues arising in Japan’s initiatives for early stage business restructuring are highlighted through this case. |
